Sole Dealer Manager to AlTi Global, Inc. ("AlTi")

Oppenheimer & Co. Inc. acted as Sole Dealer Manager to AlTi Global, Inc. (“AlTi”) on its warrant exchange of 19.9 million warrants (private and public). AlTi launched an exchange offer and concurrent solicitation for its outstanding warrants, consisting of an offer to warrant holders to exchange each full warrant for 0.250 shares of AlTi common stock. Ultimately, in the transaction, the public warrants had a participation rate of 97.5%, the private warrants had a participation rate of 98.3%, and when combined, the overall participation rate was 97.9% (19.5 million warrants tendered), with the remaining 0.43 million warrants being exchanged at the consent solicitation ratio of 0.225 shares per warrant. This transaction allowed AlTi to eliminate 100% of its outstanding warrants as consideration for approximately 5.0 million new common shares which will improve trading liquidity, increase public float, simplify the capital structure and reduce any future dilutive impact of the warrants.
