Oppenheimer & Co. Inc. acted as Sole Book-Running Manager for WisdomTree, Inc. (NYSE:WT) on its $603,750,000 Convertible Senior Notes Offering
On March 24, 2026, WisdomTree, Inc. (NYSE: WT) (“WisdomTree”), announced the pricing of its offering of $525.0 million aggregate principal amount of Convertible Senior Notes due 2031 (“2031 Notes”). WisdomTree also has granted the initial purchasers of the 2031 Notes an option to purchase up to an additional $78.75 million aggregate principal amount of the 2031 Notes, which the initial purchasers exercised in full.
Concurrent with the offering, WisdomTree privately exchanged $75 million principal amount of its 3.25% Convertible Senior Notes due 2026 (“2026 Notes”) and $275 million principal amount of its 3.25% Convertible Senior Notes due 2029 (“2029 Notes”). The 2026 Notes were privately exchanged for common stock while the 2029 Notes were privately exchanged for common stock and cash.
WisdomTree intends to use approximately $200.0 million of the net proceeds from the offering to pay the closing consideration for its previously announced acquisition of Atlantic House Holdings Limited, approximately $302.7 million to pay the cash consideration to exchange its 2029 Notes, and for working capital and other general corporate purposes, which may include the repayment of indebtedness, including other existing notes.
